Terms of Service

These Terms of Service ("Terms") govern your purchase and use of Noterix ("Noterix", "we", "us", or "our"), including our website and the Noterix desktop application (the "Software"). By purchasing a license or using the Software, you agree to these Terms. If you do not agree, do not use Noterix.

1. License grant

A Noterix Lifetime License is a one-time purchase of $109.99 USD that grants you a personal, non-exclusive, non-transferable license to install and use the Software on the permitted number of devices, including future v2.x updates. There is no subscription and no automatic renewal for this product.

2. Permitted use

You may use the Software to create, edit, play back, and export your own music notation and tablature for personal or commercial creative work. Your license key identifies your entitlement and is issued to the email address used at checkout.

3. Restrictions

  • Do not copy, resell, sublicense, rent, or redistribute the Software or your license key.
  • Do not reverse engineer, decompile, or attempt to derive source code, except to the extent this restriction is prohibited by applicable law.
  • Do not circumvent licensing, activation, or usage limits.
  • Do not use the Software for unlawful purposes or to infringe others' rights.

4. Intellectual property

The Software, website, branding, and all related intellectual property are owned by Noterix and its licensors and are protected by law. These Terms grant you a license to use the Software; they do not transfer ownership. Content you create with Noterix remains yours.

5. Payments

Payments are processed by our payment provider, Paddle (Paddle.com Market Limited), who acts as the Merchant of Record for your purchase. All prices are shown and charged in US Dollars (USD). Applicable taxes (such as VAT or sales tax) may be added at checkout based on your location. Your purchase is also subject to Paddle's buyer terms presented at checkout.

6. Refunds

Purchases are covered by a 14-day money-back guarantee as described in our Refund Policy. When a full refund is approved, the associated license is revoked and can no longer be used to activate the Software.

7. Software updates

We may provide updates, fixes, and improvements to the Software. Your Lifetime License includes v2.x updates. We may change or discontinue features over time; where a change materially reduces core functionality, we will act reasonably and in good faith.

8. Trial

A time-limited free trial may be offered so you can evaluate Noterix before purchasing. Trial access is provided "as is" and may end automatically when the trial period expires.

9. Disclaimer of warranties

To the maximum extent permitted by law, the Software is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted or error-free.

10. Limitation of liability

To the maximum extent permitted by law, Noterix will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill. Our total aggregate liability for any claim relating to the Software or these Terms is limited to the amount you paid for the product. Nothing in these Terms limits liability that cannot be limited by law.

11. Account termination

We may suspend or revoke a license that was obtained fraudulently, charged back, refunded in full, or used in breach of these Terms. We will preserve transaction records as required for audit and legal purposes.

12. Governing law & consumer rights

Your billing relationship is with Paddle as Merchant of Record and is governed by the buyer terms presented at checkout. For all other matters, these Terms are governed by the laws applicable at the operator's principal place of business. Nothing in these Terms affects the mandatory statutory consumer rights available to you in your country of residence.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected here with a new "Last updated" date. Continued use after changes take effect constitutes acceptance.
